Terms of Service
Last updated:
These Terms of Service ("Terms") are an agreement between AttorneyChiro LLC ("AttorneyChiro", "we", "us") and the practice, law firm or other organization that subscribes to AttorneyChiro ("Customer"), and they also apply to every person who uses the platform. If you accept these Terms for an organization, you confirm that you have authority to bind it.
Patients who use the patient portal or receive messages should read the Patient portal users and SMS program terms sections. Our Privacy Policy explains how we handle information.
Contents
1.The service
AttorneyChiro is cloud-based practice-management software for chiropractic practices and personal-injury law firms. It includes patient and case records, scheduling, clinical documentation, billing and collections, staff and time-clock tools, patient and attorney portals, messaging, and optional add-ons (the "Service"). Features vary by plan and add-on. We may improve or change the Service. If a change materially reduces core functionality you pay for, we will give you reasonable advance notice.
The Service is a software tool. It does not provide medical, legal, billing or coding advice. Customers and their professionals are responsible for clinical decisions, documentation, coding, claims and legal judgments, including review of any AI-generated drafts.
2.Accounts and security
- Each user must have their own login. Do not share credentials.
- Customer administrators decide who has access and with which role, and must remove access promptly when someone leaves.
- Keep your password and multi-factor authentication device secure. Tell us right away if you suspect unauthorized access.
- Customers are responsible for activity under their accounts, and for making sure their users follow these Terms.
- Account information must be accurate and kept up to date.
3.Customer data
"Customer Data" means the information that a Customer and its users submit to the Service, including patient records. As between the parties, the Customer owns its Customer Data. The Customer gives us a limited right to host, process, transmit and display Customer Data only to provide and support the Service, to keep it secure, and as the law requires.
The Customer is responsible for the accuracy of Customer Data. The Customer is also responsible for having the rights, notices, consents and authorizations needed for us to process it, including patient authorizations before records are shared with an attorney or other third party.
We may create aggregated, de-identified statistics about how the Service is used to operate and improve it. These statistics do not identify any Customer, patient or individual, and any de-identification of PHI follows HIPAA.
4.HIPAA and the Business Associate Agreement
Where a Customer is a HIPAA covered entity (or a business associate of one) and stores PHI in the Service, our Business Associate Agreement with that Customer is part of these Terms. If these Terms and the BAA conflict about PHI, the BAA controls. Customers must not store PHI in the Service until a BAA is in place. Contact [email protected] to request one.
5.Acceptable use
You may not, and may not allow anyone else to:
- Use the Service in violation of any law, including HIPAA, state health-privacy laws, the Telephone Consumer Protection Act (TCPA), CAN-SPAM, or laws about attorney advertising and patient solicitation.
- Send text messages, calls or emails without the consent the law requires, or keep contacting someone after they opt out.
- Access another Customer's data, or try to get around access controls, security measures or usage limits.
- Probe, scan or test the Service for vulnerabilities without our written permission. See Reporting security issues on our Support page.
- Upload malware, or interfere with or overload the Service.
- Reverse engineer the Service, except as the law permits, or copy it to build a competing product.
- Resell or sublicense the Service unless we agree in writing.
- Upload content that is unlawful, infringing or fraudulent.
6.Fees, billing and add-ons
- Subscription fees depend on the plan and add-ons the Customer selects. Prices are shown at sign-up or in the Customer's order.
- Fees are billed in advance through our payment processor, Stripe, using the payment method on file. Subscriptions renew automatically until cancelled.
- Add-ons, such as patient engagement, AI documentation or PI collections, are billed when enabled. Some features, such as messaging, calls or mailed letters, may also have usage charges.
- Fees do not include taxes. The Customer pays any applicable taxes other than taxes on our income.
- We may change prices with at least 30 days' notice. The new price applies from the next renewal.
- If a payment fails, we will notify the Customer. If it is still unpaid after a reasonable cure period, we may suspend the Service.
- Except where the law requires otherwise, fees already paid are non-refundable.
- Payments that patients make to a practice through the Service are processed by Stripe under the practice's own Stripe account and Stripe's terms. The practice is the merchant for those payments.
7.Third-party services and integrations
The Service can connect to third-party services that a Customer chooses to use, such as RingCentral (click-to-call, texting and fax with the practice's own phone numbers), email providers, ADP (payroll and time), Stripe (payments), Google Maps and healthcare clearinghouses.
- The Customer's own agreement with each provider governs that provider's services. The Customer is responsible for complying with those terms and for any fees the provider charges.
- When the Customer connects a service, the Customer authorizes us to exchange data with it as needed for the integration. For example, to place a call or send a text from the Customer's RingCentral account, or to read the extension and phone numbers we use as caller ID.
- We are not responsible for third-party services, their availability, or changes they make that affect an integration. The Customer can disconnect an integration at any time.
8.Patient portal users
Patients reach the patient portal through their practice. The practice, not AttorneyChiro, provides your care and controls your records.
- Use the portal only for your own records, or for a dependent you are legally authorized to act for.
- Keep your login private. Tell your practice if you think someone else has used your account.
- The portal and its messages are not for emergencies. In an emergency, call 911.
- Questions about your care, appointments, bills or records should go to your practice.
- Your practice may turn off portal access. We may suspend access if it is misused.
9.SMS program terms
Practices use AttorneyChiro to send text messages to their patients (and, where applicable, to attorneys and staff). Messages may include appointment reminders and confirmations, scheduling links, intake and consent forms, billing statements and payment reminders, and replies from practice staff. Each practice is the sender of its messages. You agree to receive texts when you give your mobile number to a practice and consent to texts.
- Message frequency varies with your appointments and account activity.
- Message and data rates may apply.
- Reply STOP at any time to opt out. You may receive one message confirming the opt-out, and then no further texts from that practice unless you opt back in. To opt back in, reply START.
- Reply HELP for help, or contact your practice directly.
- Wireless carriers are not liable for delayed or undelivered messages.
- Consent to receive texts is not a condition of receiving care or buying any goods or services.
- We do not share mobile numbers or opt-in consent with third parties for their marketing. See our Privacy Policy.
Customers that send messages through the Service must get and record the consent the law requires, honor opt-outs, follow quiet-hours rules, and comply with wireless-carrier and 10DLC registration requirements.
10.Our intellectual property
We own the Service, including its software, design, templates and documentation. Subject to these Terms and payment of fees, we give the Customer and its users a non-exclusive, non-transferable right to use the Service for the Customer's internal business during the subscription. If you send us suggestions or feedback, we may use them without obligation to you.
11.Confidentiality
Each party will protect the other's non-public business information with reasonable care. Each party will use that information only for purposes of this agreement and will not disclose it except to people who need to know it and are bound by similar duties, or as the law requires. The BAA governs PHI.
12.Suspension
We may suspend access, in whole or in part, if we reasonably believe it is needed to prevent a security threat or harm to the Service or others, to stop a material breach of these Terms, to comply with law, or because fees are overdue. We will give notice where practical and restore access once the issue is resolved.
13.Term, cancellation and your data
- The subscription runs for the billing period selected and renews automatically. A Customer can cancel at any time, and cancellation takes effect at the end of the current billing period.
- Either party may terminate if the other materially breaches these Terms and does not cure the breach within 30 days after written notice.
- For 30 days after the subscription ends, the Customer can ask us to provide its Customer Data in a commonly used electronic format. Practices should export what they need to meet their record-retention duties before the subscription ends.
- After that period, we delete or de-identify Customer Data within a reasonable time, generally within 90 days. Backup copies are overwritten on our normal rolling schedule. PHI is returned or destroyed as the BAA requires. Where returning or destroying PHI is not feasible, the BAA's protections continue to apply.
- Sections that by their nature should survive termination (such as fees owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law) do survive.
14.Disclaimer of warranties
We will provide the Service in a professional manner, using industry-standard safeguards. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted or error-free, that messages or claims will be delivered or accepted, or that AI-generated content will be accurate.
15.Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, EVEN IF ADVISED THEY WERE POSSIBLE; AND (B) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE FEES THE CUSTOMER PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
These limits do not apply to a Customer's obligation to pay fees, a party's indemnity obligations, or liability that cannot be limited by law.
16.Indemnity
The Customer will defend and indemnify us against third-party claims arising from Customer Data, the Customer's messages and communications (including claims under the TCPA or similar laws), or the Customer's violation of these Terms or the law. We will defend and indemnify the Customer against third-party claims that the Service, as we provide it, infringes their intellectual property rights.
The party seeking indemnity must notify the other party promptly, let it control the defense, and cooperate reasonably.
17.Governing law and disputes
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The state and federal courts located in Maryland have exclusive jurisdiction over any dispute, and each party consents to that jurisdiction. Before filing a claim, each party will first try in good faith to resolve the dispute informally for at least 30 days.
18.General terms
- Changes: we may update these Terms. If a change is material, we will give Customer administrators at least 30 days' notice. Continuing to use the Service after the effective date means you accept the change.
- Order of precedence: a signed agreement or order form between us and a Customer controls over these Terms where they conflict. The BAA controls for PHI.
- Assignment: neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its relevant business.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control. This does not excuse payment obligations.
- Notices to us go to the email below. We send notices to the Customer's account administrator email.
- These Terms (with the BAA and any order form) are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. A waiver must be in writing.
